Program Description and Benefits:
This meeting will be held jointly with the Estate Planning Council of Montgomery County, MD.

Planning with Qualified Small Business Stock (QSBS), which allows for a significant amount of capital gain exclusion ($10-15 million or 10x basis) on the sale of certain C-corp stock, seems to have become a new darling of the planning world in the last 1-2 years in particular; conversations about QSBS and QSBS stacking seem to be everywhere, especially among tech founders.  Favored by entrepreneurs in anticipation of liquidity events, the planning community has also seen a resurgence of interest in irrevocable non-grantor trusts, as they become more common to take advantage of QSBS “stacking” or “packing,” where owners of QSBS look to multiply or maximize the potential income tax benefit allowed by Section 1202. In addition, the OBBBA has made QSBS even more favorable for eligible stock issued after its passage.

 

This presentation will explain the potential gain exclusion benefits of QSBS, discuss the rules needed to qualify for QSBS status (C-corp, original issuance, 3-5 year holding period, gross assets, per taxpayer, etc).  It will cover the types of businesses or areas that don’t qualify for QSBS eligibility, and where the pitfalls (such as with “original issuance” rules) and opportunities (like the per taxpayer aspect) lie in each, as well as some disqualifying events.

 

Beyond the basics of QSBS eligibility, in the estate planning community we often see QSBS “stacking,” where founders might ‘stack’ QSBS benefits with multiple individuals and trusts, and cover some of the types of irrevocable non-grantor trusts seen in the field recently to accomplish these objectives. It will touch on some state impacts of QSBS gain exclusion, and also look at QSBS “packing,” where the planning focus is more on the “10 times basis” rule rather than the “per taxpayer” rule. The presentation will also discuss some methods for getting from another business type into a C-corp, and some frequently asked questions.  Finally, after all the discussion of using various non-grantor trust to maximize the benefit, discuss whether a grantor trust might be preferable or complimentary depending on other circumstances, and touch on the ever-present issue of making sure a client doesn’t get so focused on stacking or packing that they give too much away without retaining enough benefit for themselves.

 

Speaker Biography: 

As a Wealth Strategist, Anneke helps clients design solutions and strategies, guiding families through the complexities of multi-generational wealth. Anneke is a tax and estate planning attorney by training, though she is not actively practicing. This includes addressing all facets of multi-generational wealth, including estate planning, wealth transfer planning, financial planning, philanthropy, tax planning, risk management, and next-generation education, among other areas.

Before joining NewEdge, Anneke held roles as Director, Senior Wealth Planner at Chevy Chase Trust, Senior Wealth Strategist at Hawthorn at PNC Family Wealth, and Senior Vice President, Senior Trust Officer at U.S. Trust, Bank of America Private Bank—accumulating a wealth of experience spanning over 17 years.

Anneke earned a Bachelor of Arts in German from Bryn Mawr College, a Juris Doctor (JD) from Seton Hall University School of Law, and a Master of Law in Taxation (LLM) from Georgetown University Law Center. She is a member of the Maryland Bar and holds a Series 65 license. Anneke has been an active member of the Washington, D.C. Estate Planning Council since 2013, and has served as co-Chair of the Membership Committee for several years. She has also been a member of the Investment Committee for the non-profit organization Girls, Inc. since 2024.

Having lived in six states, as well as some of her formative years in Germany, Anneke now resides in northern Virginia, near D.C., with her husband and children. Beyond her professional pursuits, she is an avid reader, often reading 160-190 books a year. In her free time, Anneke enjoys spending quality time with her family.
